1. Acceptance of Terms

By accessing or using the ClearHost platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and ClearHost ("we," "our," or "us"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ClearHost is a cloud-based hotel property management and channel management SaaS platform. The Service enables hotel owners and operators to:

• Manage room inventory, rates, and availability from a single dashboard.
• Sync bookings and availability in real time across multiple OTA platforms including MakeMyTrip, Booking.com, Airbnb, Agoda, and others.
• Access property management tools including reservation management, guest profiles, and reporting.
• Utilize AI-powered features for pricing suggestions, analytics, and marketing optimization.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

3. Account Registration

To use ClearHost, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized access to your account.
• Ensuring that all information provided during registration and throughout your use of the Service remains accurate and up-to-date.

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. User Responsibilities

As a user of ClearHost, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Provide accurate property, room, and rate information on the platform.
• Comply with the terms of service of all connected OTA platforms.
• Not attempt to reverse-engineer, decompile, or otherwise derive the source code of the Service.
• Not use the Service to transmit malicious code, spam, or any content that violates applicable laws.
• Maintain appropriate authorization to manage the properties listed on your account.

5. Subscription & Billing

Free Trial

New users are eligible for a 30-day free trial of ClearHost. During the trial period, you will have access to the full features of your selected plan. No payment information is required to start the trial. At the end of the trial period, you will need to subscribe to a paid plan to continue using the Service.

Paid Plans

ClearHost offers multiple subscription plans tailored to different property sizes and needs. Plan details, including features and pricing, are described on our pricing page. All prices are quoted in Indian Rupees (INR) unless otherwise stated. Subscriptions are billed on a monthly or annual basis, depending on the billing cycle you select.

Billing After Trial

After your 30-day free trial ends, billing will commence based on your selected plan and billing cycle. You authorize us to charge your designated payment method on a recurring basis. If payment fails, we may suspend access to the Service until the outstanding balance is settled.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be issued for partial billing periods. After cancellation, your data will be retained for 90 days, after which it will be permanently deleted unless retention is required by law.

6. Intellectual Property

The ClearHost platform, including its design, code, features, logos, and documentation, is the intellectual property of ClearHost and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

You retain ownership of all data you input into the platform, including property information, booking records, and guest data. We do not claim ownership over your content.

7. Third-Party Integrations

ClearHost integrates with third-party services to provide its core functionality. These integrations include but are not limited to:

• OTA Platforms: MakeMyTrip, Booking.com, Airbnb, Agoda, Goibibo, and other online travel agencies for channel management and booking synchronization.
• Google Ads: Integration for managing and optimizing hotel advertising campaigns through Google's advertising platform.
• Meta (Facebook & Instagram): Integration for social media advertising and marketing campaigns.

Your use of third-party integrations is subject to the respective terms of service and privacy policies of those platforms. ClearHost is not responsible for the availability, accuracy, or policies of third-party services. We connect to OTA platforms using secure OAuth authentication and official APIs; we never store your OTA login passwords.

8. Limitation of Liability

To the maximum extent permitted by law, ClearHost and its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Loss of revenue, bookings, data, or business opportunities resulting from service interruptions, OTA synchronization delays, or technical errors.
• Actions taken by third-party OTA platforms, including changes to their APIs, policies, or availability.
• Unauthorized access to your account due to your failure to maintain adequate security of your credentials.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to ClearHost in the 12 months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including if you breach these Terms. Upon termination:

• Your right to use the Service will cease immediately.
• All OTA synchronizations and integrations will be disconnected.
• You may request an export of your data within 30 days of termination by contacting us.
• After 90 days, your data will be permanently deleted from our systems unless retention is required by law.

You may terminate your account at any time by cancelling your subscription and contacting us at info@clearhost.in.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or through an in-app notification and update the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. Both parties agree to attempt resolution of disputes through good-faith negotiation before pursuing formal legal action.
